Agent Agreement

1. Appointment

The Company appoints the Agent as an Independent Contractor to market and sell properties supplied by Ritz Realty. Nothing creates employment, partnership, or joint venture.

2. Commission Structure

The Agent shall receive 60% of the gross commission received by the Company for each settled transaction. Commission payable after settlement and cleared funds.

• $40,000 commission – Agent receives $24,000.
• $25,000 commission – Agent receives $15,000.
No commission payable for cancelled or failed contracts.

3. Confidentiality & Non-Disclosure

Confidential information must not be disclosed. Obligation continues 5 years post-termination.

4. Non-Circumvention

Agent shall not bypass the Company to deal directly with introduced developers or clients. Survives 24 months.

5. Restraint of Trade

For 12 months post-termination, Agent must not solicit Company developers or clients within Australia.

6. Liquidated Damages

Breach results in liquidated damages equal to greater of $50,000 or lost commission plus legal costs.

7. Termination

14 days written notice. Immediate termination for breach or misconduct.

8. Governing Law

Governed by the laws of Victoria, Australia.

9. Subscription Access Fee

9.1 Weekly Subscription

Agent agrees to pay AUD $11.99 per week for access to listings, CRM and projects.

9.2 Payment Terms

Paid weekly in advance via approved method. Agent authorises deductions.

9.3 Access Conditional Upon Payment

Access suspended if overdue more than 7 days.

9.4 Non-Refundable

Subscription is non-refundable.

9.5 No Offset Against Commission

Does not affect commission entitlements.

9.6 Adjustment of Fee

Company may vary fee with 30 days notice.

9.7 Termination and Subscription

Billing ceases upon termination once outstanding amounts paid.
